The preparation gap

Why most companies leave value on the table

Technology due diligence is the most consequential examination your technology organisation will face. Investors and acquirers use it to validate assumptions, quantify risk, and adjust their valuation. Yet most companies walk into this process cold - with no rehearsal, no coaching, and no clear strategy for how to present their technology story.

The result is predictable. Avoidable findings surface. Messaging is inconsistent. Technical debt that could have been explained in context becomes a red flag. The consequence is not just a harder negotiation - it is a lower price.

Diligence Lab exists to close that gap. We combine deep experience of conducting technology due diligence with practical expertise in communication, presentation, and technical improvement. The result: you walk into diligence prepared, confident, and in control of your narrative.

Surprises destroy value

Unexpected findings in diligence create doubt and give buyers leverage. Preparation lets you surface issues on your terms, with context and mitigations already in place.

You only get one shot

There is no second chance to make a first impression in technology DD. The readback call sets the tone for the rest of the transaction. Make it count.

Preparation is your advantage

Companies that prepare for diligence protect their valuation. Unaddressed findings give buyers leverage to negotiate the price down. Preparation removes that leverage.

For investors and advisors

De-risk the deal by preparing the management team before technology diligence begins

If you are a PE partner, deal team member, or operating advisor, you know that poorly prepared management teams create risk for the transaction. Inconsistent messaging, undocumented technical debt, and surprised founders lead to extended timelines, renegotiated terms, and deals that fall apart.

Diligence Lab gives you a tool to mitigate that risk. We work with the management team well before the sales process begins, ensuring they can present a clear, consistent, and well-evidenced technology story. The earlier we engage, the more time there is to address what we find.

Early preparation

The best time to start is 12 months or more before IMs go out. We assess the technology landscape, identify what a diligence exercise will find, and work with the team to address issues while there is time to do so properly.

Pre-sale simulation

Before the formal process begins, we run a full simulated DD exercise. This gives the management team confidence in their story and ensures findings are surfaced and addressed - not discovered live by your buyer's advisors.

Portfolio value creation

Prepare portfolio companies for secondary sales or IPO readiness. Structured DD preparation protects valuations and accelerates exit timelines.

How we help

Practical, focused services to prepare your technology organisation for scrutiny

Simulated due diligence

Most companies have never experienced a technology DD exercise. We run the full process - document requests, management interviews, technical deep-dives, and a read-back call - so your team knows exactly what to expect and how to respond.

  • Document room review and gap analysis
  • Management interviews and Q&A rehearsal
  • Simulated read-back presentation
  • Prioritised findings and remediation plan

Product due diligence

Buyers assess your product as rigorously as your technology. We evaluate it through their lens - market fit, roadmap credibility, competitive positioning, and customer dependency - and help you build a compelling product narrative.

  • Product-market fit analysis
  • Roadmap and delivery assessment
  • Customer concentration review
  • Competitive landscape mapping

Coaching and mentoring

The readback call is where impressions are formed and valuations are set. We coach technical leaders and founders to communicate with clarity, confidence, and commercial awareness - so the story lands the way you intend.

  • DD presentation coaching
  • Executive communication skills
  • Stakeholder management
  • Leadership development for technical founders

Technology reviews

Not yet in a transaction? An independent technology review gives you an honest picture of where you stand. We assess architecture, security, team capability, and technical debt - and give you a practical plan to address what matters.

  • Architecture and scalability review
  • Security and compliance assessment
  • Team capability and structure
  • Technical debt quantification

Our approach

A structured process that delivers clarity in weeks, not months

Step 01

Assess

We review your technology landscape, documentation, and team structure. We identify what a diligence exercise will find - and what is missing.

Step 02

Simulate

We run a full dry-run of the diligence process. Management interviews, technical deep-dives, and a read-back call - exactly as a buyer would conduct it.

Step 03

Report

You receive a detailed findings report with prioritised recommendations. No surprises - just a clear picture of where you stand and what to address.

Step 04

Prepare

We work with you to close gaps, refine your messaging, and coach your team. When the real diligence begins, you are ready.
